The session will cover the structure and documentation of a typical high yield transaction – with a New York law governed indenture and an English law governed intercreditor agreement. Mark and Paul will focus on how the role of an indenture trustee varies from that of an English law bond trustee, consider the different approach to amendments and discretions under a New York governed indenture and discuss some of the specific issues and practical consideration which can be a particular focus on high yield transactions
